CONSTITUTION

(April 1979)

ARTICLE I - NAME

The name of this organization shall be the GUM GARDENERS STUDY CLUB; hereafter to be referred to as the study club.

ARTICLE II - OBJECTIVE

The objective of this study club is to continue our education in the field of Dental Hygiene.


ARTICLE III - ORGANIZATION

Section 1--Membership. The membership of this study club shall consist of registered dental hygienists. The number shall be limited to fourteen members, without regard to race, sex, religion.
Section 2. This club is organized exclusively for educational purposes within the meaning of Section 501 (c)(3) of the Internal Revenue Code.
Section 3. Notwithstanding any other provision of these articles, the club shall not carry on any other activities not permitted to be carried on by any organization exempt from Federal income tax under Section 501(c)(3) of the Internal Revenue Code.

ARTICLE IV - OFFICERS

The elected officers of this study club shall be a chairman and a treasurer, whose duties will be established in Section 1 of the by-laws. There shall also be a recording secretary, selected each meeting

ARTICLE V - MEETINGS

Meetings of this study club will be held each month, September thru May, on the fourth Monday of each month. Meeting dates may be changed upon notification of the membership.

ARTICLE - VI DUES

Section 1. The dues of this study club shall be five dollars per meeting. Dues will be paid one month in advance of each meeting, whether in attendance or not. The purpose of the dues shall be to pay for speakers and needed facilities.
Section 2. This club is not organized for profit, and no part of the net earning shall inure to the benefit of any member of the club.

ARTICLE VII - DISSOLUTION

Section 1. Upon the winding up and dissolution of this club.
After paying or adequately providing for the debts and obligations of the organization, the remaining assets shall be distributed to a non-profit fund, foundation or corporation which has established its tax exempt status under Section 501(c)(3) of the Internal Revenue Code.
Section 2. This study club shall commit all left over funds to the Oregon Dental Hygiene Scholarship and Loan Fund, Ind.
Amendments to this constitution (Article 111, Sect. 2, 3; Article V1 Sect. 2; Article V11, Sect 1) adopted by majority vote of the members present April 23, 1979.
